Acceptance of Agreement

You agree to the terms and conditions outlined in this Terms of Service agreement (Agreement) with respect to our app (App). This Agreement constitutes the entire and only agreement between us and you, and supersedes all prior or contemporaneous agreements, representations, warranties, and understandings with respect to the App, the content, products, or services provided by or through the App, and the subject matter of this Agreement.

You shall not post or transmit through the App any material which violates or infringes the rights of others, or which is threatening, abusive, defamatory, invasive of privacy or publicity rights, vulgar, obscene, profane, or otherwise objectionable, which encourages conduct that would constitute a criminal offense, give rise to civil liability, or otherwise violate any law.

Intellectual Property

All content included on the App, such as text, graphics, logos, icons, images, audio clips, video clips, and software, is the property of Kvanz or its content suppliers and is protected by international copyright laws. The compilation of all content on this App is the exclusive property of Kvanz and protected by international copyright laws.

User Content

You grant Kvanz a non-exclusive, royalty-free, perpetual, irrevocable, and fully sub-licensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display any content that you post on or otherwise submit to the App (collectively, User Content) throughout the world in any media. You grant Kvanz and sub-licensees the right to use the name that you submit in connection with such content, if they choose.

Privacy Policy

Your use of the App is also subject to our Privacy Policy. Please review our Privacy Policy, which also governs the App and informs users of our data collection practices.

Disclaimer of Warranties

The App is provided by Kvanz on an as is and as available basis. Kvanz makes no representations or warranties of any kind, express or implied, as to the operation of the App or the information, content, materials, or products included on the App. You expressly agree that your use of the App is at your sole risk.

Limitation of Liability

Kvanz will not be liable for any damages of any kind arising from the use of this App, including, but not limited to direct, indirect, incidental, punitive, and consequential damages.

Indemnification

You agree to indemnify, defend, and hold harmless Kvanz, its officers, directors, employees, agents, licensors, suppliers, and any third-party information providers to the App from and against all losses, expenses, damages, and costs, including reasonable attorneys fees, resulting from any violation of this Agreement (including negligent or wrongful conduct) by you or any other person accessing the App.

Termination

Kvanz may terminate this Agreement at any time, with or without notice, for any reason.

Governing Law

This Agreement and its performance shall be governed by the laws of the state or country where Kvanz is located, without regard to its conflict of laws provisions. You consent and submit to the exclusive jurisdiction of the state and federal courts located in the state or country where Kvanz is located, in all questions and controversies arising out of your use of the App and this Agreement.

Severability

If any provision of this Agreement is determined to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.

Entire Agreement

This Agreement constitutes the entire agreement between you and Kvanz with respect to the App and supersedes all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and Kvanz with respect to the App.
